Welcome to ThreadPool. These Terms & Conditions explain the rules governing your access to and use of our website, marketplace, products, and services.

1. Agreement to These Terms

These Terms & Conditions ("Terms") constitute a legally binding agreement between you and Smithovision LLC, doing business as ThreadPool ("ThreadPool," "we," "us," or "our").

By accessing or using the ThreadPool website, creating an account, placing an order, or otherwise interacting with our services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the website or its services.

These Terms apply to all visitors, customers, account holders, and other individuals who use the ThreadPool platform.

2. Eligibility and Age Requirements

ThreadPool is intended for individuals who are at least 18 years old. Individuals under 18 may use ThreadPool only with the involvement and supervision of a parent or legal guardian who agrees to these Terms and accepts responsibility for the minor's use of the platform and any purchases made on their behalf.

3. Customer Accounts

Customers may shop on ThreadPool as guests or create an account to access additional account management features. When creating an account, you agree to:

• Provide accurate, current, and complete information.
• Keep your account information reasonably up to date.
• Maintain the confidentiality of your login credentials.
• Accept responsibility for activities conducted through your account.
• Notify ThreadPool promptly if you suspect unauthorized account access or activity.

You may not create an account using false information, impersonate another person, or use another person's account without authorization. ThreadPool reserves the right to suspend, restrict, or terminate accounts involved in suspected fraud, abuse, unauthorized activity, or violations of these Terms.

4. Acceptable Use

You agree to use ThreadPool only for lawful purposes and in accordance with these Terms.

ThreadPool may investigate suspected violations and take appropriate action, including account suspension, order cancellation, or legal action when warranted.

5. Products & Product Information

ThreadPool offers merchandise through two primary business models:

• Products purchased by ThreadPool through wholesale arrangements and resold directly to customers.
• Products displayed and sold by independent brands through the ThreadPool marketplace.

We make reasonable efforts to ensure that product descriptions, photographs, pricing, availability, colors, sizing information, and other listing details are accurate. However, product images and descriptions are provided for informational purposes. Actual products may vary slightly in appearance, color, texture, packaging, sizing, or other characteristics. ThreadPool does not guarantee that every product listing will remain available or unchanged.

6. Pricing and Payment

Product prices and applicable shipping charges are displayed during the shopping and checkout process. Prices may change without prior notice. ThreadPool accepts payment methods made available through its payment processing system (Stripe).

ThreadPool does not store complete payment card numbers or card security codes on its own systems. Payment processing is subject to the applicable payment provider's terms and privacy practices. You authorize ThreadPool and its payment providers to charge the payment method selected during checkout for the applicable purchase, taxes, shipping charges, and other disclosed amounts.

7. Orders and Order Acceptance

Placing an order constitutes an offer to purchase the selected merchandise under these Terms. An order confirmation email acknowledges receipt of your order but does not necessarily mean that ThreadPool has accepted the order. An order is not officially accepted until ThreadPool confirms acceptance and begins processing or fulfillment.

ThreadPool reserves the right to review, refuse, limit, or cancel orders for legitimate business reasons, including:

• Incorrect or inaccurate product pricing.
• Product listing or description errors.
• Merchandise availability or inventory issues.
• Suspected fraudulent or unauthorized transactions.
• Unusual purchasing activity or quantity restrictions.
• Payment authorization or processing problems.
• Violations of these Terms or applicable law.

If an order is canceled after payment has been collected, ThreadPool will issue an applicable refund to the original payment method. ThreadPool may limit the quantity of merchandise available for purchase by an individual customer, household, account, or transaction.

8. Shipping and Delivery

ThreadPool currently offers standard shipping within the 50 United States. International shipping and shipping to U.S. territories and possessions are not currently available.

Standard order processing generally takes 1–3 business days, followed by an estimated standard shipping period of 3–7 business days. Delivery estimates are not guaranteed. ThreadPool is not responsible for delays caused by shipping carriers, weather, natural disasters, transportation disruptions, or other circumstances outside its reasonable control. 9. Returns and Refunds

Eligible merchandise may be returned in accordance with the ThreadPool Return Policy. Our return requirements include applicable return deadlines, merchandise condition requirements, non-returnable products, and return shipping responsibilities.

ThreadPool generally processes eligible returns as refunds to the original payment method. Exchanges are not currently offered. For complete return requirements, please review our Return Policy.

10. Marketplace Sellers & Independent Brands

ThreadPool provides the marketplace platform through which independent brands can display and sell their merchandise. Independent marketplace sellers are responsible for the accuracy, legality, authenticity, quality, and applicable descriptions of the merchandise they offer.

ThreadPool reserves the right to remove, restrict, or suspend a seller, product, or listing at any time for reasons including:

• Violations of ThreadPool policies or seller agreements.
• Product quality or authenticity concerns.
• Suspected fraud or misleading product information.
• Intellectual property complaints.
• Safety, regulatory, or legal concerns.
• Other legitimate business or operational reasons.

11. Customer Reviews and Submitted Content

ThreadPool may allow customers to submit product reviews, ratings, photographs, comments, and other content through the website. By submitting content, you represent that:

• Your submission reflects a genuine experience or opinion.
• Your submission does not contain defamatory, threatening, or discriminatory material.
• Your submission does not contain spam, unauthorized advertising, or promotional links.
• You are not impersonating another individual or organization.
• Your submission does not disclose private, confidential, or sensitive information without authorization.
• You have the necessary rights and permissions to submit the content.

By submitting content to ThreadPool, you grant Smithovision LLC, doing business as ThreadPool, a non-exclusive, worldwide, royalty-free license to use, reproduce, display, distribute, and otherwise make that content available for the operation, promotion, and marketing of ThreadPool and its services. This license does not transfer ownership of your submitted content.

12. Intellectual Property Rights

Unless otherwise indicated, the ThreadPool website and its original content, branding, logos, graphics, designs, software, text, photographs, and other materials are owned by or licensed to Smithovision LLC, doing business as ThreadPool. These materials are protected by applicable intellectual property laws.

You may access and use the website for personal, non-commercial shopping purposes. You may not reproduce, distribute, modify, publicly display, commercially exploit, or create derivative works from ThreadPool-owned materials without prior written authorization, except where permitted by applicable law.

13. Third-Party Services and Websites

ThreadPool may use third-party services to support payment processing, analytics, advertising, shipping, website functionality, and other business operations. Your use of third-party services may be subject to their respective terms, privacy policies, and other applicable agreements. ThreadPool is not responsible for the content, policies, availability, or practices of independently operated third-party websites and services.

14. Privacy and Cookies

15. Disclaimer of Warranties

To the maximum extent permitted by applicable law, the ThreadPool website and its services are provided on an "as is" and "as available" basis. ThreadPool does not guarantee that the website will always be available, uninterrupted, error-free, or free of harmful components.

16. Limitation of Liability

To the maximum extent permitted by applicable law, Smithovision LLC, doing business as ThreadPool, and its owners, officers, employees, affiliates, representatives, and service providers will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages arising from or relating to your use of the website or services.

To the maximum extent permitted by applicable law, ThreadPool's total liability arising from a particular transaction will not exceed the amount paid to ThreadPool for the merchandise or service giving rise to the claim.

17. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless Smithovision LLC, doing business as ThreadPool, and its owners, officers, employees, affiliates, and representatives from third-party claims, liabilities, damages, losses, and reasonable expenses arising from:

• Your violation of these Terms.
• Your unlawful or unauthorized use of the website.
• Your violation of another person's rights.
• Content you submit that infringes another person's rights or violates applicable law.
• Your fraudulent, abusive, or intentionally harmful conduct.

18. Dispute Resolution and Arbitration

We encourage customers to contact ThreadPool directly before pursuing formal legal action. Many concerns can be resolved through our customer support team.

Informal Dispute Resolution

Before initiating arbitration, the parties agree to attempt to resolve disputes informally. A customer must send a written notice describing the dispute, relevant facts, and requested resolution to jerell@smithovision.com. The parties will make a good-faith effort to resolve the dispute within 30 days after receipt of the notice.

Binding Individual Arbitration

Except for disputes that qualify for resolution in small claims court or other matters that applicable law excludes from arbitration, disputes arising out of or relating to these Terms, the website, or purchases made through ThreadPool will be resolved through binding individual arbitration rather than a court trial.

Arbitration will be administered by the American Arbitration Association (AAA) under its applicable Consumer Arbitration Rules. The arbitration will be conducted on an individual basis.

Class Action Waiver

To the extent permitted by applicable law, disputes must be brought on an individual basis. You and ThreadPool agree not to participate in a class action, collective action, representative action, or consolidated arbitration involving claims covered by this agreement.

Arbitration Opt-Out

You may opt out of this arbitration agreement by sending written notice to jerell@smithovision.com within 30 days after first agreeing to these Terms. Your opt-out notice must include your full name, the email address associated with your ThreadPool account or purchase, and a clear statement that you wish to opt out of the arbitration agreement.

19. Governing Law and Jurisdiction

These Terms and any disputes arising from your use of ThreadPool will be governed by the laws of the State of Louisiana, without regard to conflict-of-law principles, except where applicable law requires otherwise. To the extent a dispute is not subject to arbitration, the parties agree to bring the matter in a court of appropriate jurisdiction in Louisiana.

20. Suspension and Termination

ThreadPool reserves the right to suspend, restrict, or terminate access to the website or its services when necessary to protect customers, the platform, independent sellers, or our business operations. Termination does not eliminate obligations or rights that arose before termination.

21. Changes to These Terms

ThreadPool reserves the right to update or modify these Terms as our business, services, marketplace, or legal obligations evolve. Updated Terms will be published on this page with a revised "Last Updated" date.

22. Severability

If any provision of these Terms is found invalid, unlawful, or unenforceable, the remaining provisions will continue in effect to the extent permitted by applicable law.

23. Entire Agreement

These Terms, together with the applicable policies referenced herein, constitute the agreement between you and ThreadPool concerning your use of the website and services. These Terms supersede prior agreements or understandings concerning the same subject matter, except where a separate written agreement expressly applies.
